"Loco Technologies Toolbar" means one of the toolbars provided by Loco Technologies whose main features are briefly described below and associated software (in computer executable version only) to enable use of the features when properly installed by a user, and any updates, enhancements or upgrades thereto. "Loco Technologies" means Loco Technologies Limited (registered in England and Wales under number 5634693; registered address at Tennyson House, 159-165 Great Portland Street, London W1W 5PA; e-mail info@locotechnologies.com."You" means a living individual who obtains and uses the Loco Technologies Toolbar.

Features

The Loco Technologies Toolbar provides you with a browser toolbar which contains a search function and added functionality including easy-to-use links to third party websites which Loco Technologies consider are relevant to the particular type of toolbar which you downloaded or installed. For example, if you choose to install a travel toolbar, that may contain a series of links to third party travel websites which Loco Technologies considers may be of interest to you; or if you choose to install a radio toolbar, that may contain a series of links to third party radio stations which Loco Technologies considers may be of interest to you.

The Loco Technologies Toolbar also provides you with a vertical or horizontal side panel, pop-up, pop-under or new window (which is generated when you want to make certain searches on the web). This feature provides you with extra search results or links in response to a search that you make on the web and which may be supplemental to any results made available to you by the website from which you have searched. The panel may: (a) temporarily replace another pane already open; (b) remain open while the event that triggered the pane remains in place; and (c) be temporarily deactivated by you. If you want, you can close the window or panel with the extra results after each search. However, if you prefer to remove this feature altogether, you must uninstall the Loco Technologies Toolbar. You can uninstall the Loco Technologies Toolbar at any time. Instructions for how to do so can be found here.

The Loco Technologies Toolbar has no spyware and no registration or personal information is required for use.

The Loco Technologies Toolbar may also contain other toolbar features and functionality which Loco Technologies provides with the toolbar from time to time.

Updates

Loco Technologies may automatically update, change, amend, enhance or upgrade the Loco Technologies Toolbar which you have installed including to change links, features or its appearance or fix bugs. This can occur by the Loco Technologies Toolbar automatically communicating with Loco Technologies' servers. Loco Technologies reserves the right to make those updates, changes, amendments, enhancements or upgrades without expressly bringing them to your attention.

Cookies

The Loco Technologies Toolbar uses cookies. Cookies are tiny text files which identify your computer to our server as a unique user when you have downloaded or installed the Loco Technologies Toolbar and they are stored by your Internet browser on your computer's hard drive. Cookies can be used to recognise your Internet Protocol address. Loco Technologies only uses the cookies to ascertain how many or what proportion of the installed Loco Technologies Toolbars are in active or inactive use at any one time and not to obtain or use any other information about you. Rights Granted

This EULA allows you to use the Loco Technologies Toolbar in accordance with its terms. Loco Technologies grants to you a non-exclusive, royalty-free licence permitting you to download and install the Loco Technologies Toolbar solely for your personal, non-commercial use in accordance with this EULA. You may assign or sub-license your rights to use the Loco Technologies Toolbar to another person provided that they have first expressly agreed to this EULA, in which case they shall also be described as "you" in relation to how this EULA applies to them. This licence shall automatically terminate upon your breach of any of the terms of this EULA or upon Loco Technologies displaying a termination notice on the www.locotechnologies.com website. It is your responsibility to check whether such a notice is displayed on that website. Any rights not expressly granted to you herein by Loco Technologies are reserved to Loco Technologies.

General Restrictions

You shall not make or distribute any copy of the Loco Technologies Toolbar, or electronically transfer the Loco Technologies Toolbar from one computer to another or over a network, except if you and each user expressly agrees to this EULA again for each copy that is made. The licence for you to use the Loco Technologies Toolbar in this EULA only involves a right to use the computer executable version. To the extent permitted by law, you shall not decompile, reverse engineer, disassemble, or otherwise reduce the software within the Loco Technologies Toolbar to human-readable form. You shall not modify, copy, sell, rent, transfer, resell for profit, distribute, translate or create derivative works based upon the Loco Technologies Toolbar or any part thereof except as expressly permitted under this EULA or by Loco Technologies in writing. You must also not use the Loco Technologies Toolbar in any manner that could damage, disable, overburden or impair Loco Technologies' services or websites or in any way which may interfere with a third party's authorised use of the Loco Technologies Toolbar. You must not allow the Loco Technologies Toolbar to be used by anyone using your Internet connection, unless that person has expressly agreed to this EULA.

Indemnity

You shall fully and promptly indemnify Loco Technologies against all damages, proceedings, claims, demands, liabilities, losses, charges, costs and expenses which Loco Technologies may suffer or incur as a result (direct or indirect) of any breach by you of any obligation on you under this EULA.

Ownership

The foregoing licence gives you limited rights to use the Loco Technologies Toolbar. You do not become the owner of the Loco Technologies Toolbar. You acknowledge that, as between you and Loco Technologies, Loco Technologies and its suppliers retain all intellectual property rights (whether legal or beneficial) of any nature anywhere in the world (including without limitation copyright, database rights, trade mark rights and rights in confidential information, whether or not registered or capable of protection by registration) in the Loco Technologies Toolbar and all copies thereof. You must not remove, obscure or alter any proprietary notices on or accessed through the Loco Technologies Toolbar. All rights not specifically granted in this EULA are reserved to Loco Technologies and its suppliers. This EULA conveys to you only a limited right to access and use the Loco Technologies Toolbar.

Disclaimer of Warranties

THE LOCO TECHNOLOGIES TOOLBAR IS PROVIDED TO YOU ON AN "AS IS" BASIS, WITHOUT ANY WARRANTY, CONDITION, TERM OR REPRESENTATION OF ANY KIND FROM LOCO TECHNOLOGIES OR ITS SUPPLIERS TO YOU OR ANY THIRD PARTY INCLUDING, WITHOUT LIMITATION, AS TO MERCHANTABILITY, QUALITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. LOCO TECHNOLOGIES IS PROVIDING THE LOCO TECHNOLOGIES TOOLBAR (INCLUDING ANY RELATED SOFTWARE, DOCUMENTATION AND DATA DERIVED OR DELIVERED THROUGH THE LOCO TECHNOLOGIES TOOLBAR) WITHOUT ANY WARRANTIES, CONDITIONS, TERMS OR REPRESENTATIONS OF ANY KIND INCLUDING, WITHOUT LIMITATION, ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE OR USAGE OF THE TRADE. Limitation of Damages

NOTHING IN THIS EULA SHALL EXCLUDE OR LIMIT THE LIABILITY OF LOCO TECHNOLOGIES OR ITS SUPPLIERS FOR DEATH OR PERSONAL INJURY CAUSED BY THEIR RESPECTIVE NEGLIGENCE OR FOR THEIR RESPECTIVE FRAUD OR FOR ANY OTHER LIABILITY WHICH CANNOT BE EXCLUDED OR LIMITED BY APPLICABLE LAW. TO THE MAXIMUM EXTENT ALLOWABLE BY APPLICABLE LAW, LOCO TECHNOLOGIES AND ITS SUPPLIERS SHALL NOT BE LIABLE FOR ANY OTHER DIRECT, INDIRECT, CONSEQUENTIAL, SPECIAL, INCIDENTIAL, EXEMPLARY OR PUNITIVE LOSSES (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF DATA, PROFITS, REVENUE, GOODWILL, REPUTATION, SAVINGS, OPPORTUNITY, OPERATING TIME, USE OR BUSINESS) HOWSOEVER ARISING FROM THE USE OF, DELAY IN USING OR INABILITY TO USE THE LOCO TECHNOLOGIES TOOLBAR OR ANY OF THE FEATURES OR FUNCTIONALITY OR WEBSITES ASSOCIATED WITH THE LOCO TECHNOLOGIES TOOLBAR, WHETHER BASED ON BREACH OF CONTRACT, NEGLIGENCE, MISREPRESENTATION, TORT, RESTITUTION OR OTHERWISE, AND WHETHER OR NOT LOCO TECHNOLOGIES OR ITS SUPPLIERS OR ANY OF THEIR RESPECTIVE OFFICERS, EMPLOYEES, AGENTS OR REPRESENTATIVES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH LOSSES ARISING FROM OR RELATED TO THIS EULA OR THE LOCO TECHNOLOGIES TOOLBAR. YOU AGREE THAT LOCO TECHNOLOGIES WOULD NOT BE ABLE TO PROVIDE THE LOCO TECHNOLOGIES TOOLBAR WITHOUT CHARGE UNLESS IT HAS THE EXCLUSIONS AND LIMITATIONS CONTAINED IN THIS EULA.
LOCO TECHNOLOGIES AND ITS SUPPLIERS HAVE NO CONTROL OVER AND ACCEPT NO RESPONSIBILITY FOR THE CONTENT OF ANY WEBSITE TO WHICH YOU LINK OR WHICH YOU USE AS A RESULT OF USING ANY FEATURES OR FUNCTIONALITY IN THE LOCO TECHNOLOGIES TOOLBAR (UNLESS LOCO TECHNOLOGIES OR ITS SUPPLIERS (AS APPLICABLE) IS THE PROVIDER OF THOSE SITES). SUCH SITES ARE PROVIDED “AS IS” FOR YOUR CONVENIENCE ONLY WITH NO WARRANTY, EXPRESS OR IMPLIED, AS TO THE INFORMATION PROVIDED WITHIN THEM. General

This EULA shall be governed by and construed in accordance with English law and you hereby submit to the jurisdiction of the English courts. You irrevocably agree that the English courts shall have exclusive jurisdiction over any claim or matter brought by you in relation to this EULA. Nothing shall limit the right of Loco Technologies from taking proceedings against you in any other court of competent jurisdiction.
This EULA shall operate to the entire exclusion of any other prior agreement, understanding or arrangement of any kind between you and Loco Technologies and in any way relating to the subject matter of this EULA and to the exclusion of any representations not expressly stated in this EULA save for any fraudulent misrepresentations or any misrepresentation as to a fundamental matter. You acknowledge that you have not entered into this EULA based on any representation that is not expressly incorporated into this EULA. This EULA constitutes the whole agreement and understanding of you and Loco Technologies as to the Loco Technologies Toolbar and there are no provisions, terms, conditions or obligations, whether oral or written, express or implied, other than those contained or referred to herein.
No failure or delay by Loco Technologies in exercising any right under this EULA shall operate as a waiver of such right or extend to or affect any other or subsequent event or impair any rights or remedies in respect of it or in any way modify or diminish its rights under this EULA.
If any provision in this EULA shall become or shall be declared by any court of competent jurisdiction to be invalid or unenforceable, such invalidity or unenforceability shall in no way affect any other provision or part of provision, all of which shall remain in full force and effect.
All questions concerning this Agreement shall be directed to Loco Technologies at the contact details described above in the description of Loco Technologies.
All dealings, correspondence and contacts between you and Loco Technologies shall be made or conducted in the English language.
